Development Technologies Hub LLC d/b/a Stem Hosting

1. Agreement
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer") and Development Technologies Hub LLC, doing business as Stem Hosting ("Company," "we," "us," or "our"), a Utah limited liability company. By creating an account, purchasing a hosting plan, or using any of our services, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use our services.
2. Eligibility
You must be at least 18 years of age and capable of forming a legally binding contract under applicable law to use our services. By using our services, you represent and warrant that you meet these requirements.
Our services are intended for use within the United States. We do not knowingly provide services to individuals or entities outside the United States.
3. Account Registration
You agree to provide accurate, current, and complete information when registering for an account, and to keep that information up to date. You are solely responsible for all activity that occurs under your account and for maintaining the confidentiality of your login credentials. You must notify us immediately at legal@stemhosting.net if you suspect unauthorized access to your account.
4. Services
We provide shared web hosting services on a month-to-month subscription basis. Available plans are listed on our website. Each plan includes the storage, bandwidth, and features described at the time of purchase.
We do not provide email hosting services.
Additional products and services, including widgets and components available through our platform, may be purchased separately and are subject to their own pricing and terms as presented at the time of purchase.
We reserve the right to modify, discontinue, or change the features included in any plan at any time. If we make material reductions to a plan's features, we will provide reasonable notice.
5. Acceptable Use and Prohibited Content
You are solely responsible for all content hosted on our infrastructure and all activity conducted through your account. You agree that your account and hosted content will comply with all applicable federal, state, and local laws.
The following are strictly prohibited:
- Any content that is illegal under applicable federal or state law
- Child sexual abuse material (CSAM) or any content that sexually exploits minors
- Malware, spyware, viruses, ransomware, phishing pages, or any malicious code
- Spam operations, bulk unsolicited email, or any use of our infrastructure for mass email distribution
- Adult or sexually explicit content of any kind
- Cryptocurrency mining of any kind using our servers or infrastructure
- Content that facilitates or promotes violence, terrorism, or illegal activity
- Content that infringes upon the intellectual property rights of any third party
- Any activity that places unreasonable strain on our infrastructure or interferes with other customers
We reserve the right, in our sole discretion, to determine what constitutes a violation of this section.
Violations will result in immediate account termination without prior notice. We are not obligated to provide a warning or opportunity to cure before terminating an account for violation of this Acceptable Use Policy.
6. Payment and Billing
Subscription Fees. Hosting plans are billed on a monthly basis. Your billing date is established at the time of your initial purchase.
Automatic Renewal. Your subscription will automatically renew each month until cancelled. By providing a payment method, you authorize us to charge that payment method on each renewal date.
No Refunds. All fees are non-refundable. We do not issue refunds for partial billing periods, unused services, or any other reason.
Cancellation. If you cancel your subscription, your account will remain active through the end of the current paid billing period. You will not be charged for the following month. No refund will be issued for the remaining time in the current period.
Failed Payments. If payment fails, we may suspend your account until payment is received. We reserve the right to terminate accounts with persistent failed payments.
Price Changes. Hosting plan prices will not increase without at least 30 days advance written notice to the email address on file for your account. Additional services such as widgets and components may be priced and updated independently.
7. Account Suspension and Termination
By Us. We reserve the right to suspend or terminate your account at any time, with or without notice, for:
- Violation of these Terms or our Acceptable Use Policy
- Non-payment of fees
- Conduct we determine, in our sole discretion, poses a risk to our infrastructure, other customers, or third parties
- Any other reason we deem necessary to protect our business or comply with applicable law
Upon termination for violation of these Terms, your data may be permanently deleted without further notice.
By You. You may cancel your account at any time through the customer portal. Cancellation takes effect at the end of your current billing period.
Effect of Termination. Upon termination, your right to access and use our services ceases. We are not obligated to retain your data following termination.
8. Backups
We provide periodic backups as a courtesy feature where available on eligible plans. We do not guarantee the availability, completeness, frequency, or recoverability of any backup. You are solely responsible for maintaining your own independent backups of all data and content hosted on our platform. We are not liable for any data loss under any circumstances.
9. DMCA and Copyright
Development Technologies Hub LLC respects intellectual property rights and complies with the Digital Millennium Copyright Act ("DMCA"). We have registered a designated DMCA agent with the U.S. Copyright Office (Registration No. DMCA-1071361).

Your notice must include all elements required by 17 U.S.C. § 512(c)(3), including: identification of the copyrighted work, identification of the allegedly infringing material and its location, your contact information, a statement of good faith belief, and your signature under penalty of perjury.
Upon receipt of a valid notice, we will act expeditiously to remove or disable access to the identified material. We will notify the affected customer, who may submit a counter-notice under 17 U.S.C. § 512(g).
Customers who are repeat infringers will have their accounts terminated.
10. Disclaimer of Warranties
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE EXPRESSLY DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM SECURITY VULNERABILITIES. WE DO NOT WARRANT THAT YOUR DATA WILL BE SECURE OR RECOVERABLE IN THE EVENT OF A SYSTEM FAILURE.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DEVELOPMENT TECHNOLOGIES HUB LLC, ITS OWNERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to defend, indemnify, and hold harmless Development Technologies Hub LLC and its owners, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) content you host on our infrastructure.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Utah, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or our services shall be brought exclusively in the state or federal courts located in Washington County, Utah. You consent to personal jurisdiction in such courts.
14. Modifications
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email to the address on file for your account at least 14 days before the changes take effect. Continued use of our services after the effective date of any modification constitutes acceptance of the updated Terms.
15. Miscellaneous
Entire Agreement. These Terms constitute the entire agreement between you and us with respect to our services and supersede all prior agreements.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
No Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely.
